Buyer: the customer placing an order
Quotation/Offer: our written proposal
Products/Services: manufactured components and related services

2. Quotations & Orders

Quotations are valid only for the period stated in the quotation.
An order becomes binding only after our written Order Confirmation or a signed contract.
Scope is based on the agreed drawings/specifications and documentation list.

3. Technical Documents & Confidentiality

Technical documents shared between parties are confidential and used only for executing the project. Intellectual property remains with the originating party unless agreed otherwise in writing.

4. Changes / Revisions

Any change in drawings, specifications, materials, quantities, or documentation requirements must be confirmed in writing and may affect price and lead time.

5. Delivery & Incoterms® 2020

Delivery responsibilities follow the Incoterms rule stated in the quotation/order confirmation (e.g., EXW, FCA, CPT, CIF). Lead times are estimates unless explicitly agreed as binding.

6. Packaging, Inspection & DocumentationPackaging is applied to protect goods during transport and per order requirements.

Quality documentation (e.g., EN 10204 3.1/3.2 when in scope), dimensional reports, and NDT reports are provided as agreed. If third-party inspection is required, scope and timing must be agreed in writing.

7. Warranty & Liability

We warrant that products conform to the agreed specifications at delivery. Warranty excludes misuse, incorrect installation, unauthorized modification, or normal wear unless otherwise stated.

Liability is limited to direct damages up to the value of the supplied goods/services in the relevant order, except where mandatory law provides otherwise. No liability for indirect or consequential losses (e.g., lost profit, production loss).

8. Force Majeure

We are not liable for delays or failure caused by events beyond reasonable control (e.g., natural disasters, war, strikes, supply disruptions, port congestion)

9. Governing Law

These terms are governed by the laws of the Republic of Türkiye. Disputes shall be resolved by the competent courts of Adana, Türkiye unless otherwise agreed.
